Terms of Service

1. Who May Use ReScope

You must be at least 13 years old (or the minimum age required by your jurisdiction) to use ReScope. If you are using ReScope on behalf of a company or other entity, you represent that you have authority to bind that entity, and “you” includes that entity.

2. The App: On-Device Tool; No Account Required (Current State)

ReScope is designed to help contractors and remodelers create and manage jobs, change orders, revisions, line items, and “Saved Files” on iPhone. ReScope currently does not require an account or login and is designed to work on-device.

Your ability to use features such as sharing, emailing, storing files in the Files app, or using cloud storage providers depends on third-party services you choose to use. We do not control those services.

3. License to Use the App

Subject to these Terms and your compliance with them, ReScope grants you a limited, non-exclusive, non-transferable, revocable license to download and use the App for your personal or internal business purposes on Apple-branded devices you own or control, as permitted by Apple’s App Store terms.

Restrictions

You agree not to (and not to permit others to):

• Copy, modify, distribute, sell, lease, sublicense, or transfer the App or any portion of it (except as permitted by law)
• Reverse engineer, decompile, disassemble, or attempt to discover the source code, except to the extent permitted by applicable law
• Circumvent security-related features or access controls
• Use the App to violate any law or infringe anyone’s rights
• Use the App in a way that interferes with or disrupts the App or Site

4. Subscriptions, Billing, Renewals, and Cancellations (Apple In-App Purchase)

ReScope may offer paid subscriptions (for example, monthly or annual). Purchases are processed by Apple through In-App Purchase and are subject to Apple’s terms and policies.

• Billing: Your subscription fee (plus applicable taxes) will be charged to your Apple ID account at confirmation of purchase.
• Automatic renewal: Subscriptions renew automatically unless cancelled at least 24 hours before the end of the current period.
• Managing/cancelling: You can manage and cancel subscriptions in iPhone Settings → Apple ID → Subscriptions.
• Price changes: Apple may provide notice of price changes and may require your consent in some cases.
• Refunds: Refund requests are handled by Apple under Apple’s refund policies. We generally cannot issue refunds for App Store purchases.

If we offer a free trial, any unused portion of a free trial (if applicable) may be forfeited when you purchase a subscription.

5. Your Content and Responsibilities

ReScope allows you to enter and manage information such as jobs/projects, client information, change orders, revisions, line items, pricing, and related notes (“User Content”).

• You own your User Content. As between you and ReScope, you retain ownership of your User Content.
• You are responsible for your User Content. You represent that you have the rights to use it and that it is accurate, lawful, and does not infringe any third-party rights.
• Backups are your responsibility. ReScope provides tools that may help you save or back up files, but you are responsible for maintaining copies of important information and complying with your recordkeeping obligations.

6. Saved Files, Package ZIPs, Sharing, and Checks

ReScope can generate “Saved Files” and may bundle ReScope-generated files for a change order into a shareable “Package ZIP” (collectively, “Packages”). You control when and how to share Packages through iOS sharing features (Mail, Messages, Files, and other destinations you select).

Checks/Validation

ReScope may provide checks that help you confirm a Package appears complete and consistent before sharing. These checks are intended to help you reduce mistakes, but they are not a guarantee that a Package will be error-free, accepted by a recipient, or suitable for any particular purpose. You remain responsible for reviewing and confirming the content you share.

7. Privacy

Our Privacy Policy explains how we handle information. Please read it carefully: /privacy. By using ReScope, you agree that we can process information as described in the Privacy Policy.

8. Intellectual Property

The App, Site, and all related content and technology (excluding your User Content) are owned by ReScope and are protected by intellectual property laws. ReScope and its logos are trademarks of ReScope.

Feedback

If you provide suggestions, feedback, or ideas (“Feedback”), you grant ReScope a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate that Feedback without compensation.

9. Third-Party Services and Links

The App and Site may allow you to interact with third-party services (for example, Apple services, email providers, file storage providers) or may contain links to third-party websites. We do not control and are not responsible for third-party services. Your use of third-party services is governed by their terms and policies.

10. Disclaimers

THE APP AND SITE ARE PROVIDED “AS IS” AND “AS AVAILABLE.” To the maximum extent permitted by law, ReScope disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and that the App or Site will be uninterrupted, secure, or error-free.

ReScope is a tool for organizing and sharing project documentation. ReScope does not provide legal, financial, accounting, or professional advice. You are responsible for complying with applicable laws, contract requirements, and recordkeeping obligations.

11. Limitation of Liability

To the maximum extent permitted by law:

• ReScope will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from or related to your use of the App or Site.
• ReScope’s total liability for any claim arising out of or relating to the App, Site, or these Terms will not exceed the greater of: (a) the amount you paid to ReScope through Apple for the App subscription in the 12 months before the event giving rise to the claim, or (b) $100.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless ReScope and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your User Content; (b) your use of the App or Site; or (c) your violation of these Terms or applicable law.

13. Termination

We may suspend or terminate your access to the App or Site at any time if you violate these Terms or if we discontinue the App or Site. You may stop using the App at any time by deleting it from your device.

Sections that by their nature should survive termination will survive, including: Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Dispute/Governing Law provisions.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of New York, without regard to conflict of laws rules.

You agree that any dispute arising out of or relating to these Terms, the App, or the Site will be brought exclusively in the state or federal courts located in New York County, New York, and you consent to personal jurisdiction in those courts.

15. Changes to These Terms

We may update these Terms from time to time. We will update the “Last Updated” date above. If changes are material, we may provide additional notice (for example, on the Site or in the App). Your continued use after the update means you accept the updated Terms.

16. Miscellaneous

• Entire Agreement: These Terms and the Privacy Policy constitute the entire agreement between you and ReScope regarding the App and Site.
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
• No Waiver: Failure to enforce a provision is not a waiver.
• Assignment: You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
• Export Controls: You agree to comply with applicable export and sanctions laws.
• Force Majeure: We are not liable for delays or failures due to causes beyond our reasonable control.
• Notices: We may provide notices via the Site or within the App.
